Cleverlead — Terms of Service
Last updated: July 10, 2026 · Version 1.0
Welcome to Cleverlead! These Terms of Service (the "Terms") are a binding agreement between Cleverlead ("Cleverlead", "we", "us" or "our") and you, individually and on behalf of the company or entity you represent ("you" or "Customer"). By creating an account, accepting an invitation to an existing account, or accessing or using the Cleverlead CRM software and related services (the "Service"), you agree to these Terms, our Privacy Policy and our Data Processing Addendum, which are incorporated by reference. If you accept on behalf of an entity, you confirm you have authority to bind it. If you do not agree, do not use the Service.
1. Beta Notice
The Service is currently provided as a beta version. It is under active development and may contain bugs, errors, incomplete features, and interruptions. We may add, change, suspend or remove features, impose usage limits, or discontinue the Service (in whole or in part) at any time, with or without notice. As part of ongoing development, we may also need to migrate, restructure or reset accounts, workspaces or data models; we will make reasonable efforts to provide advance notice of such changes, but you acknowledge they are an inherent part of a beta service. You should maintain independent copies of any important data. Sections 9 (Disclaimer) and 10 (Limitation of Liability) apply with particular force during the beta period.
2. Accounts and Users
- Eligibility. You must be at least 18 years old and use the Service for business purposes only, not as a consumer.
- Account information. You will provide accurate, complete and current information, keep your login credentials secure, and promptly notify us of any unauthorized access or use.
- Users and roles. You may invite users to your account and assign them roles and permissions per the Service’s functionality ("Authorized Users"). The first user is the account administrator. You are responsible for your Authorized Users’ acts and omissions and for their compliance with these Terms as if they were your own.
3. Subscriptions, Fees and Free Trial
- Plans. The Service is offered on a subscription basis with monthly or annual billing cycles, as you select at purchase (each a "Billing Cycle"). We may introduce free or "freemium" tiers, and may change plan features and pricing prospectively.
- Free trial. We may offer a free trial. When the trial ends, if you have not subscribed to a paid plan, your account may immediately become limited or read-only, and we may delete the account and its data at any time thereafter, notwithstanding Section 12. You are responsible for exporting your data before the end of the trial.
- Auto-renewal. Subscriptions renew automatically for successive periods equal to your Billing Cycle unless you cancel before the end of the then-current cycle. Price changes will be notified at least 30 days before taking effect at your next renewal.
- Payment. You authorize us (and our third-party payment processor) to charge your payment method on a recurring basis. Fees are exclusive of taxes, which are your responsibility.
- No refunds. Except where required by law or expressly stated in these Terms, all fees are non-refundable. Cancellation takes effect at the end of the current Billing Cycle, and you will not be charged for the following cycle.
4. Customer Data
- Ownership. You retain all rights, title and interest in the data, contacts, files and content you or your Authorized Users submit to the Service ("Customer Data"). We claim no ownership of Customer Data.
- License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display and copy Customer Data solely as needed to provide, secure, support and improve the Service and to comply with law.
- Your responsibilities. You are solely responsible for the accuracy, quality and legality of Customer Data, for having all rights and lawful bases (including consents) required to collect it and submit it to the Service, and for its use in compliance with applicable privacy and data protection laws. We do not monitor or moderate Customer Data.
- Sensitive data prohibited. Unless we expressly agree in writing, you may not submit to the Service: health or medical information (including PHI), full payment card numbers or financial account credentials, government-issued identification numbers, biometric or genetic data, special categories of personal data (such as data revealing racial or ethnic origin, religious or political beliefs, or sexual orientation), or personal data of children under 16. You bear all responsibility for such data if submitted in breach of this Section.
- Aggregated and anonymized data. We may create aggregated, de-identified or anonymized data derived from the use of the Service (such as usage statistics, benchmarks and trends) that does not identify you or any individual. Such data is owned by us and may be used for any lawful purpose, including to operate, analyze, improve and promote the Service.
- Backups. You are responsible for maintaining your own copies of Customer Data. During beta especially, we do not guarantee data retention or recovery.
5. Usage Data and Support Access
- Usage data. We collect technical and usage information about the use of the Service — such as log-ins, feature usage, activity levels, record counts, session times, device and browser information, IP addresses and logs — for security, support, billing, analytics and product improvement, as further described in our Privacy Policy. We may also record in-app user sessions for product improvement and debugging, as described in our Privacy Policy; such recordings may incidentally capture information displayed on screen. Routine administrative monitoring otherwise relates to usage metadata and not to the content of your Customer Data.
- Support and security access. We may access your account and Customer Data as reasonably needed to respond to your support requests, troubleshoot and resolve technical issues, secure the Service, or comply with law. Otherwise, we do not access the content of Customer Data in the ordinary course of operating the Service.
6. Third-Party Infrastructure, Integrations and AI
- Hosting platform. The Service is built and hosted on third-party infrastructure (including the Base44 platform, operated by Base44, Inc. / Wix.com Ltd.) and relies on third-party sub-processors for hosting, storage, AI capabilities and related functions. Customer Data will be processed by such providers under our Data Processing Addendum and their respective safeguards, and you acknowledge that our platform provider processes data in accordance with its own terms and data processing addendum, including to maintain and improve its platform. Our security commitments are limited to measures reasonably available to us through such providers. If our platform provider suspends or terminates its services to us, we may suspend or terminate the Service accordingly, and our obligations that depend on the platform (including data export) shall apply only to the extent the platform remains available to us.
- Integrations. The Service may allow you to connect third-party products (e.g., email, calendar, ad platforms). Your use of any third-party service is governed by that third party’s terms and privacy policy, is at your own risk, and we are not responsible for third-party services or for data you share with them.
- AI features. The Service includes AI-powered features that generate content, suggestions or insights ("Output"). Output is generated automatically, may be inaccurate, incomplete or biased, and is provided for your convenience only. You must independently verify Output before relying on it, remain responsible for all decisions and actions based on it, and must not use AI features to make decisions with legal or similarly significant effects on individuals. As between the parties, you own your Output to the extent we hold any rights in it; similar output may be generated for other customers.
7. Acceptable Use and Restrictions
You will not, and will not permit anyone to: (a) resell, sublicense, rent or make the Service available to third parties except to your Authorized Users; (b) reverse engineer, decompile or attempt to derive the source code of the Service; (c) copy, modify or create derivative works of the Service; (d) circumvent security or usage limits, or interfere with the Service’s integrity or performance; (e) use bots, scrapers or automated means to access the Service; (f) upload malicious code or unlawful, infringing or harmful content; (g) send spam or unsolicited communications through the Service; (h) use the Service to build a competing product; or (i) use the Service in violation of applicable law.
If you use the Service to send emails, messages or marketing communications, you are solely responsible for complying with all applicable anti-spam and electronic marketing laws (including the Israeli Communications Law (Telecommunications and Broadcasting), 5742-1982 ("spam amendment"), CAN-SPAM, and the GDPR/ePrivacy rules, as applicable), including obtaining any required consents from recipients.
8. Intellectual Property and Feedback
The Service, including all software, design, content, trademarks and know-how (excluding Customer Data), is and remains our property or that of our licensors. No rights are granted except as expressly set out in these Terms. Any suggestions, ideas, feature requests, or other feedback you or your Authorized Users provide regarding the Service ("Feedback") shall be deemed our sole and exclusive property. We may use, implement, modify and commercialize Feedback freely, without restriction, attribution or compensation of any kind, and you hereby irrevocably assign to us all rights in Feedback and waive any claim to it, including any right to royalties, consideration or moral rights, to the extent permitted by law.
You permit us to identify you as a customer (name and logo) in our marketing; you may opt out by written notice.
9. Warranty Disclaimer
THE SERVICE (INCLUDING ALL AI FEATURES AND OUTPUT) IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. THIS APPLIES WITH GREATER FORCE WHILE THE SERVICE IS IN BETA. WE DO NOT WARRANT THE BACKUP OR STORAGE OF CUSTOMER DATA, AND WE ARE NOT RESPONSIBLE FOR FAILURES OF THIRD-PARTY INFRASTRUCTURE, INTEGRATIONS, INTERNET OR TELECOMMUNICATIONS PROVIDERS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, BUSINESS, GOODWILL, OR DATA; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU ACTUALLY PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU USE A FREE OR TRIAL PLAN, US $100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NO CLAIM MAY BE BROUGHT MORE THAN 12 MONTHS AFTER THE CAUSE OF ACTION AROSE.
11. Indemnification
You will defend, indemnify and hold us and our officers, employees and agents harmless from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Data, including any claim that it infringes rights or violates law; (b) your or your Authorized Users’ use of the Service in breach of these Terms (including the sensitive-data and anti-spam provisions); or (c) your violation of applicable law, including data protection laws.
12. Suspension, Termination and Data Export
- By you. You may cancel your subscription at any time via the Service or by written notice; cancellation takes effect at the end of the current Billing Cycle.
- By us — for cause. We may suspend or terminate your account or access immediately if we reasonably believe you breached these Terms, pose a security risk, or use the Service unlawfully or in a way that may harm us or others.
- By us — for convenience. We may terminate any account for any reason upon thirty (30) days’ written notice. If you are on a paid plan, we will refund the pro-rata portion of prepaid fees for the unused remainder of your Billing Cycle. Free and trial accounts may be terminated per Section 3.
- Effect. Upon termination your licenses end and access ceases. You are responsible for exporting Customer Data before termination; upon written request within 15 days after termination, we will make commercially reasonable efforts to enable export. Thereafter, Customer Data will be deleted in accordance with our Data Processing Addendum and our providers’ backup cycles, except as retention is required by law.
- Survival. Certain sections of these Terms, by their nature, continue to apply even after your account is closed or these Terms end. This means, for example, that our ownership of the Service, our right to use aggregated data, your indemnification obligations, the warranty disclaimer, the limitation of liability, and the governing-law provisions still bind both parties with respect to anything that happened during the time you used the Service, even after termination. Specifically, Sections 4 (to the extent needed to wind down, and aggregated data), 5, 7–11 and 13–14 survive any termination or expiration of these Terms.
13. Changes to the Service and these Terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email at least 10 days before they take effect; your continued use after the effective date constitutes acceptance. If you object to a change, your sole remedy is to stop using the Service and cancel your subscription.
14. Governing Law; General
- Governing law and venue. These Terms are governed by the laws of the State of Israel, without regard to conflict of laws rules. The competent courts of Tel Aviv-Yaffo have exclusive jurisdiction over any dispute, and each party consents to their jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply. We may seek injunctive relief in any jurisdiction.
- Entire agreement. These Terms, together with the Privacy Policy, Data Processing Addendum and any order form, are the entire agreement and supersede prior understandings regarding the Service.
- Assignment. You may not assign these Terms without our consent; we may assign them without restriction, including to any entity we may incorporate to operate the Service.
- Miscellaneous. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control (except payment obligations). The parties are independent contractors.
